AnaCap-backed Ancorius Group (« Ancorius »), a Luxembourg-based provider of corporate and fund services, today announces that it has signed an agreement to acquire A3T S.A. (« A3T »), an independent corporate services firm, offering a broad range of accounting, audit, tax and advisory support, and Alcyon S.A. (« Alcyon »), a Commission de Surveillance du Secteur Financier (“CSSF”) authorised fund administration provider.

The two companies, which operate under common ownership, are joining Ancorius in a single transaction. The transaction is subject to customary closing conditions, including regulatory approval. This milestone follows Ancorius’ recently announced acquisitions and represents another significant step in Ancorius’ continued growth strategy, substantially broadening the Group’s capabilities across corporate services, while also significantly strengthening its regulated fund administration capabilities.

Building a broader offering across corporate and fund services

A3T is an independent Luxembourg-based provider of accounting, audit, tax, advisory and corporate services, serving a diversified yet highly institutionalised client base including financial institutions, investment funds, public entities, and non-profit organisations. The company is duly registered with the Ordre des Experts-Comptables (“OEC”), and the Institut des Réviseurs d’Entreprises (“IRE”) & the CSSF for its audit activities.

Alcyon is a Luxembourg-based, CSSF authorised Professionnel du Secteur Financier (“PSF”) specialising in fund accounting, fund administration, transfer agency and corporate secretarial services for alternative fund managers.

The two businesses, with a combined headcount of approximately 30 professional employees, will significantly enhance Ancorius’ presence in Luxembourg and its ability to support clients across the full lifecycle of corporate and investment structures – from incorporation and corporate services through to accounting, tax, fund administration as well as ongoing advisory and regulatory support.

Johan van den Berg, Group CEO at Ancorius, commented: « We are pleased to announce that A3T and Alcyon are joining Ancorius. Every acquisition we make is highly selective and we are convinced that both A3T and Alcyon will bring expertise that complements our existing capabilities and creates new opportunities for our clients and our people. »

Continuity backed by greater scale

Existing clients of both A3T and Alcyon will continue to work with their current relationship teams following completion of the transaction, ensuring important continuity while benefiting from the broader range of expertise, technology and resources from Ancorius. A3T will continue to be led by Andréas Tartoras, Julien Didierjean and Jean-Philippe Roch. « We are proud to be joining Ancorius. Our clients and teams value continuity, technical expertise and close relationships. Ancorius was a natural partner as they demonstrated these same qualities, while also bringing a broader range of expertise and support which will be tremendously valuable to both our clients and staff,” said Andréas Tartoras, Partner at A3T.

Vincent Gruselle and Jean-Philippe Roch will continue leading Alcyon and its specialist fund administration team. « Alternative fund managers increasingly expect specialist expertise backed by a robust operational platform. Joining Ancorius allows us to continue delivering the services our clients know while becoming part of a business with strong ambitions and resources in regulated fund services, » said Vincent Gruselle, Managing Director at Alcyon.

Steven Gringoire, Managing Director at AnaCap, said: « We were impressed with A3T and Alcyon’s growth trajectory, client-centric business model and shared ambitions in the sector. This follows our typical M&A playbook where we support acquisitions that add genuine strategic value rather than simply increasing scale. We look forward to welcoming and collaborating with the A3T and Alcyon teams. »
